1. Acceptance of Terms
By accessing or using the website and services of XAV Solution Inc. ('XAV Solution', 'we', 'us', or 'our'), you agree to be bound by these Terms of Use. 2. Description of Services
XAV Solution provides professional audiovisual (AV) integration services, including but not limited to the design, supply, installation, configuration, and maintenance of AV systems for commercial and institutional clients across Canada. The scope, pricing, and conditions of each project are defined in a written proposal or service agreement signed by both parties.
3. Quotes and Proposals
All quotes and proposals issued by XAV Solution are valid for 30 days from the date of issuance unless otherwise stated in writing. Acceptance of a proposal constitutes agreement to the terms set out therein, including pricing, project scope, and payment schedule. Changes to the scope of work after acceptance may result in amended pricing and timelines.
4. Payment Terms
Payment terms are specified in each project proposal or service agreement. In general, XAV Solution requires a deposit prior to commencing work, with the balance due upon project completion or as defined in the agreement. Overdue invoices are subject to interest charges as permitted by applicable law. XAV Solution reserves the right to suspend or terminate services for non-payment.
5. Client Responsibilities
The client is responsible for providing accurate information, timely access to the installation site, and any necessary permits or authorizations required for the work. Delays or additional costs resulting from the client's failure to meet these obligations may be billed accordingly. The client is also responsible for ensuring that existing infrastructure (electrical, network, structural) meets the requirements specified in the project proposal.
6. Warranties
XAV Solution warrants its installation workmanship for a period of one (1) year from the date of project completion. Equipment and hardware are covered by the manufacturers' warranties, which XAV Solution will assist in facilitating where possible. Warranties do not cover damage caused by misuse, unauthorized modifications, power surges, or third-party interference.
7. Limitation of Liability
To the fullest extent permitted by law, XAV Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from the use or inability to use our services. Our total liability for any claim related to a project shall not exceed the amount paid by the client for that specific project.
8. Intellectual Property
All content on this website, including text, graphics, logos, and design elements, is the property of XAV Solution Inc. and is protected by applicable intellectual property laws. Project designs, schematics, and technical documentation produced by XAV Solution remain our property unless explicitly transferred in writing as part of a service agreement.
9. Privacy
The collection and use of personal information through our website and services is governed by our Privacy Policy, available on this website. By using our services, you consent to the practices described therein.
10. Modification of Terms
XAV Solution reserves the right to modify these Terms of Use at any time. Changes will be effective upon posting to this website. Your continued use of our services following any changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
11. Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.
